Communications

When creating an Account on our Service, you are consenting to receive newsletters, marketing or promotional materials, and any other information or announcements that we may send. However, you have the option to unsubscribe and discontinue receiving any or all of these communications at any time by following the unsubscribe link provided.

Purchases

Should you wish to purchase any product or service made available through our Service (“Purchase”), you may be required to provide certain information relevant to your Purchase. This includes, but is not limited to, your credit card number, credit card expiration date, billing address, and shipping information.

By making a Purchase, you declare and affirm that you have the legal right to use any credit card(s) or other payment method(s) in connection with that Purchase, and that all information provided to us is accurate, correct, and complete.

For the purpose of facilitating payment and order fulfillment, we may utilize third-party services. Consequently, by submitting your information, you authorize us to share this information with such third parties, with the understanding that it will be done in accordance with our Privacy Policy.

Please note that we reserve the right to refuse or cancel any order at any time for various reasons, including but not limited to product or service availability, errors in product or service descriptions or pricing, errors in the order process, or any other relevant factors. Additionally, we reserve the right to refuse or cancel your order if fraudulent or unauthorized activity is suspected.

Contests, Sweepstakes, and Promotions

Any contests, sweepstakes, or other promotions (“Promotions”) made available through our Service may be governed by rules separate from these Terms of Service. If you choose to participate in any Promotions, we kindly ask that you carefully review the applicable rules, as well as our Privacy Policy. In the event of any conflict between the rules of a Promotion and these Terms of Service, the rules specific to that Promotion will take precedence.

Subscriptions

Certain aspects of our Service may be subject to recurring fees based on a subscription basis (“Subscriptions”). Billing for Subscriptions occurs in advance at a recurring and periodic interval known as the “Billing Cycle.” The specific billing frequency (monthly or annually) depends on the subscription plan you select when making your purchase.

Unless you cancel your Subscription or we terminate it, your Subscription will automatically renew under the same conditions at the end of each Billing Cycle. You have the option to cancel your Subscription renewal either through your online account management page or by contacting our customer support team.

To process your subscription payment, we require a valid payment method, such as a credit card or PayPal. You must provide Propel SAS with accurate and complete billing information, including your full name, address, state, zip code, telephone number, and valid payment method details. By submitting this payment information, you automatically authorize Propel SAS to charge all Subscription fees incurred through your account to the provided payment method.

In the event that automatic billing fails, we will issue an electronic invoice that states the full payment amount corresponding to the billing period indicated on the invoice. Prompt manual payment of the invoice is required within a specified deadline.

Always-Free Resources

Propel SAS has decided to offer certain resources known as “Always-Free” resources. These resources are exempt from charges and are available for unlimited usage over an indefinite period.

You may be required to enter your billing information in order to sign up for an Always-Free account.

If you do enter your billing information when signing up for an Always-Free account, you will not be charged by Propel SAS.

At any time and without notice, Propel SAS. reserves the right to (i) modify Terms of Service of the Always-Free offer, or (ii) cancel such Always-Free offer.

Fee Changes

Propel SAS reserves the right to modify Subscription fees for any Subscriptions at any time, in our sole discretion. Any changes to Subscription fees will become effective at the end of the then-current Billing Cycle.

To ensure transparency, Propel SAS will provide you with reasonable prior notice of any changes to Subscription fees, allowing you an opportunity to terminate your Subscription before the modified fees take effect.

By continuing to use the Service after the revised Subscription fee becomes effective, you indicate your agreement to pay the updated Subscription fee amount.

Refunds

Except as required by law, paid Subscriptions are non-refundable.

Content

The content available on our Service (excluding third-party content provided by users) is either the property of Propel SAS or is used with permission. You are strictly prohibited from distributing, modifying, transmitting, reusing, downloading, reposting, copying, or using this content (in whole or in part) for commercial purposes or personal gain, unless you have obtained prior express written permission from us or the respective owner of the content.

Prohibited Uses

You may only use our Service for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any manner that violates applicable national or international laws or regulations.
  • To exploit, harm, or attempt to exploit or harm minors in any way, including exposing them to inappropriate content.
  • To send or solicit any form of advertising or promotional materials, such as “junk mail,” “chain letters,” or “spam.”
  • To impersonate or attempt to impersonate Propel SAS, a Propel SAS employee, another user, or any other individual or entity.
  • In any way that infringes upon the rights of others, or that is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
  • To engage in any conduct that restricts or inhibits the use or enjoyment of the Service by others, or that may harm or offend Propel SAS, our users, or expose them to liability. In addition, you agree not to:
  • Use the Service in a manner that could disable, overburden, damage, or impair the Service, or interfere with the ability of others to use the Service or engage in real-time activities through it.
  • Use any automated device, process, or means to access the Service for any purpose, including monitoring or copying any material on the Service, without our prior written consent.
  • Use any manual process to monitor or copy any material on the Service or for any other unauthorized purpose without our prior written consent.
  • Use any device, software, or routine that interferes with the proper functioning of the Service.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Service, the server on which the Service is hosted, or any server, computer, or database associated with the Service.
  • Attack the Service through a denial-of-service attack or a distributed denial-of-service attack.
  • Use the Service to conduct or attempt a denial-of-service attack or a distributed denial-of-service attack.
  • Take any action that may damage or manipulate the rating of Propel SAS.
  • Attempt to interfere with the proper functioning of the Service.

No Use By Minors

The Service is intended for use by individuals who are at least fifteen (15) years old or older. By accessing or using any aspect of Propel SAS, you affirm that you are at least fifteen (15) years of age and possess the authority, right, and capacity to enter into and abide by these Terms. If you are not at least fifteen (15) years old, you are prohibited from accessing and using the Service.

Accounts

By creating an account with us, you guarantee that you are at least fifteen (15) years old and that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password. This includes restricting access to your computer and/or account. You agree to accept responsibility for all activities or actions that occur under your account and/or password, whether authorized by you or not. In the event of any breach of security or unauthorized use of your account, you must notify us immediately.

You may not select a username that infringes upon the rights of others, is offensive, vulgar, or obscene, or is otherwise unlawful. You also may not use a username that is the trademark of another person or entity without proper authorization.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

If you wish to delete your account, please send an email to founders@propel.sh from the email associated with your account, specifying that you would like your account to be deleted.

Intellectual Property

The Service, its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Propel SAS and its licensors. The Service is protected by copyright, trademark, and other French laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Propel SAS.

Error Reporting and Feedback

You may provide feedback, error reports, suggestions for improvements, ideas, complaints, and other information regarding our Service directly to us at founders@propel.sh or through third-party sites and tools. By providing such feedback, you acknowledge and agree that: (i) you grant us an exclusive, transferable, irrevocable, sub-licensable, unlimited, and perpetual worldwide right to use, modify, create derivative works, publish, distribute, and commercialize the feedback in any manner and for any purpose; (ii) you are not entitled to any compensation or reimbursement of any kind from us based on your feedback; (iii) the feedback does not contain any confidential or proprietary information; (iv) we are not under any obligation of confidentiality concerning the feedback; and (v) we may have similar ideas to the feedback already in development.

Termination

Propel SAS may, at its discretion, terminate or suspend your account and bar access to the Service immediately, with or without prior notice or liability, for any reason whatsoever and without limitation. This includes situations involving a breach of the Terms.

To request the termination of your account, please send an email to founders@propel.sh from the email associated with your account.

All provisions of the Terms that by their nature should survive termination will survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed and construed in accordance with the French laws, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede any prior agreements we might have had between us regarding the Service.

Changes To The Service

Propel SAS reserves the right to withdraw or modify our Service, as well as any service or material provided through the Service, at any time and without prior notice. We will not be liable if any or all parts of the Service become temporarily or permanently unavailable. Additionally, we may restrict access to certain parts of the Service, or the entire Service, to users, including registered users.

Amendments To The Terms

We may amend these Terms at any time by posting the amended terms on this site. It is your responsibility to review these Terms periodically.

Continued use of the Service after any revisions to the Terms become effective shall indicate your agreement with and acceptance of the amended terms. If you do not agree with the new terms, you are no longer authorized to use the Service.

Waiver And Severability

No waiver by Propel SAS of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Additionally, the failure of Propel SAS to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, the remaining provisions of these Terms shall remain in full force and effect to the maximum extent permitted by law.
